Reporting Accounting and Auditing Matters:

In October 2004, the Astral Media Audit Committee of the Board of Directors established procedures for:
  • the receipt, retention and treatment of complaints by third parties regarding accounting, internal accounting controls or auditing matters; and
  • the confidential anonymous submission by employees of Astral Media of concerns regarding questionable accounting or auditing matters

Astral Media Inc. Complaint Procedures for Accounting and Auditing Matters

These procedures have been established by Astral Media for the purpose of guiding the receipt, retention and treatment of complaints by third parties or the concerns by Astral Media employees regarding accounting or auditing matters. Any such complaints or concerns can be submitted to Astral Media using the following e-mail address or fax number:

The complaint should include sufficient, precise and relevant information pertaining, among others, to dates, places, persons or witnesses, numbers, etc. so that a reasonable investigation can be conducted.

Upon receiving a complaint, the Vice-President, Legal Affairs and Secretary shall immediately register it in a log of complaints and open a file, which file and log shall be maintained in a secure location to protect confidentiality. The Vice-President, Legal Affairs and Secretary shall immediately notify the Vice-President, Human Resources of any concern by an Astral Media employee and shall ensure the confidentiality of such complaint.

The Vice-President, Legal Affairs and Secretary shall forward a copy of all complaints to the Chairman of the Audit Committee of the Board of Directors who shall determine whether an investigation should be conducted.

In conducting such an investigation, the Chairman of the Audit Committee of the Board of Directors may enlist inside or outside advisors, as appropriate, and shall have access to all books and records of Astral Media.

Investigations will be conducted as quickly as possible, taking into account the nature and complexity of the complaint and the issues raised therein.

The Vice-President, Legal Affairs and Secretary shall retain as a part of the records any and all complaints, reports of concerns and related documentation for a period of no less than three (3) years.

Each quarter, a report shall be forwarded to the Audit Committee of the Board of Directors on the number, nature and outcome of complaints received and investigated.

Notwithstanding the foregoing, any complaint that may have material consequences for Astral Media shall be promptly reported to the Audit Committee.
